Acceptance of These Terms of Service

Communal, Inc. (“Communal,” “we,” “us,” or “our”) provides our services (described below) and related content to you through our website(s) located at gocommunal.com (the “Site”) and through our mobile applications and related technologies (“Mobile Apps”, and collectively, such Mobile Apps and the Site, including any updated or new features, functionality and technology, the “Service”).

All access and use of the Service is subject to the terms and conditions contained in these Terms of Service (as amended from time to time, these “Terms”). By accessing, browsing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, you may not access or use the Service.

We may change these Terms at any time in our sole discretion. If we do, we will post the updated Terms and indicate the date of last revision above. We may also notify you of material changes through the Service interface, email, or other reasonable means. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS.

Your Privacy

At Communal, we respect user privacy. Please review our Privacy Policy (the “Privacy Policy”). By using the Service, you consent to the collection, use, and disclosure of personal data and other data as described in the Privacy Policy.

Additional Terms

You may be subject to additional terms posted within the Service from time to time (for example, Community Guidelines, event-specific rules, venue rules, or partner terms). Those additional terms are incorporated by reference and form part of these Terms.

1) Access and Use of the Service

1.1 Service Description

Communal provides a platform for discovering, applying to, organizing, hosting, and attending curated experiences and gatherings (“Experiences”). Communal may curate participants, venues, and themes, and may facilitate ticketing or payments.

1.2 Eligibility

You must be at least 18 years old (or the age of majority where you live, if higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

1.3 Registration and Account Security

To access certain features, you may need to create an account and provide certain information (e.g., phone number, email, identity or profile information). You agree to provide accurate information and keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use or security breach.

1.4 Membership / Application-Based Access (if applicable)

Certain features of Communal may be invite-only, application-based, or membership-based. Communal may accept or reject applications in its sole discretion, and may suspend or revoke membership or access at any time as permitted by these Terms and applicable law.

1.5 Communications (Email, Push, SMS)

By creating an account or using the Service, you consent to receive communications from us electronically (e.g., email, push notifications, in-app messages) about your account, Experiences, updates, and service-related announcements.

If we offer SMS, you consent to receive SMS messages to the number you provide, including authentication codes and Experience notifications. Message and data rates may apply. You can opt out of marketing SMS by replying “STOP” (if applicable), though you may still receive transactional messages (e.g., login codes), and opting out may limit certain Service features.

1.6 Beta Features

Some features may be offered as “beta,” “pilot,” or “limited release” (“Beta Features”). Beta Features are provided “AS IS” and “AS AVAILABLE,” and may contain bugs or errors. To the fullest extent permitted by law, we disclaim warranties and limit liability for Beta Features as described below.

2) Experiences, Tickets, Payments, and Refunds

2.1 Roles: Communal, Hosts, Venues, and Attendees

Communal may (a) host Experiences directly, (b) co-host with partners, or (c) enable third-party hosts/creators to host Experiences using the Service (“Hosts”). Experiences often take place at third-party venues (“Venues”) that are not controlled by Communal.

Unless explicitly stated otherwise, Communal is not a venue operator and does not own, control, or manage Venues.

2.2 Curation, Matching, and Access

Communal Experiences may involve curation (including guest selection, group composition, timing, or theme). You acknowledge that:

  • acceptance to an Experience may be limited by capacity or curatorial choices,
  • Communal may decline participation requests for any non-discriminatory reason consistent with applicable law,
  • Communal may remove attendees from an Experience (before or during) for safety, policy, or community reasons.

2.3 Pricing

Prices for Experiences (including membership fees, tickets, deposits, or add-ons) will be shown at checkout or described in the Service. Prices may include platform fees and/or payment processing fees where permitted by law.

2.4 Payments and Payment Processors

Payments may be processed by third-party payment processors (e.g., Stripe). You agree to comply with their terms and policies. Communal does not store full payment card details unless explicitly stated in the Privacy Policy.

2.5 Refunds, Cancellations, and No-Shows

Refund and cancellation rules may vary by Experience and will be displayed in the Service or on the Experience page. Unless otherwise stated:

  • No-shows may be non-refundable.
  • Late cancellations may be non-refundable (or may incur a fee), because Experiences are small and capacity-constrained.
  • Communal may issue credits instead of refunds where clearly disclosed and permitted by law.
  • If Communal cancels an Experience, we will provide a refund or credit consistent with the posted policy (and applicable law), excluding non-refundable third-party costs where disclosed.

2.6 Changes to Experiences

Details (time, location, format, line-up, group composition) may change. We’ll try to notify you of material changes. If a material change occurs, your remedies will be limited to the applicable refund/cancellation policy and any non-waivable rights you have under law.

3) Community Standards and User Conduct

3.1 User Content

You are responsible for any text, images, videos, messages, profile information, or other content you submit, post, or otherwise make available through the Service (“User Content”). You represent and warrant you have all rights needed to provide User Content.

3.2 Prohibited Conduct

You agree not to use the Service to:

  • violate any law, regulation, or third-party rights;
  • harass, abuse, threaten, stalk, or discriminate against others;
  • post or transmit illegal, hateful, exploitative, or sexually explicit content;
  • impersonate any person or entity or misrepresent affiliation;
  • solicit personal information from minors;
  • attempt to access accounts or data not belonging to you;
  • scrape, crawl, reverse engineer, or use automated means to extract data;
  • spam, send unsolicited messages, or promote unauthorized commercial activity;
  • interfere with the Service’s operation, security, or access controls.

3.3 Safety and On-Site Conduct

Experiences happen in real life. You agree to behave respectfully and safely. Communal may remove you from an Experience or suspend your account if you violate these Terms, Community Guidelines, venue rules, or if we believe your behavior creates risk for others.

3.4 Alcohol, Substances, and Age-Restricted Content

If an Experience involves alcohol or other age-restricted activities, you represent you are of legal age in your jurisdiction and will comply with all applicable laws and venue rules.

4) Photos, Media, and Likeness

4.1 Event Photography

Some Experiences may be photographed or recorded. Where required by law, we will provide notice and/or seek consent. By attending an Experience, you acknowledge that photography/recording may occur and agree that Communal may use event media that includes you for community, safety, and promotional purposes, subject to your rights under applicable law and as described in the Privacy Policy.

Opt-out (Promotional Use). If you do not want Communal to use photos or videos of you for promotional purposes, you can opt out at any time by emailing hello@gocommunal.com with (i) the event name and date, and (ii) a description of the content (or a screenshot/link if available). We will take reasonable steps to stop using that content in future promotional materials and, where practicable, to remove it from our owned channels.

5) Intellectual Property

5.1 Service Content

The Service and its content (excluding User Content) including designs, text, graphics, logos, software, and features (“Service Content”) are owned by Communal or its licensors and protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works from Service Content unless expressly permitted.

5.2 Limited License

Subject to these Terms, Communal grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial use.

5.3 User Content License

You grant Communal a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute your User Content solely for operating, improving, and promoting the Service, and as otherwise described in the Privacy Policy.

6) Third-Party Services and Links

The Service may integrate or link to third-party services (payment processors, mapping tools, social platforms, venues, partners) (“Third-Party Services”). Your use of Third-Party Services may be subject to their terms. Communal is not responsible for Third-Party Services and does not endorse them unless stated.

7) Disclaimers

7.1 Service Disclaimer

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, COMMUNAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 Experiences Disclaimer

COMMUNAL DOES NOT GUARANTEE ANY PARTICULAR OUTCOME FROM ATTENDING EXPERIENCES (INCLUDING SOCIAL, PROFESSIONAL, OR RELATIONAL OUTCOMES). EXPERIENCES INVOLVE REAL-WORLD INTERACTIONS AND INHERENT RISKS.

8) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COMMUNAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR ATTENDANCE AT EXPERIENCES.

TO THE FULLEST EXTENT PERMITTED BY LAW, COMMUNAL’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO COMMUNAL IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR €100 / $100 (WHICHEVER IS GREATER), UNLESS APPLICABLE LAW REQUIRES OTHERWISE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9) Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Communal and its officers, directors, employees, contractors, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service, (b) your User Content, (c) your attendance at or conduct in connection with an Experience, or (d) your violation of these Terms or applicable law.

10) Termination

We may suspend or terminate your access to the Service at any time if we believe you violated these Terms, pose a safety risk, or used the Service unlawfully. You may stop using the Service at any time.

Upon termination, sections that by their nature should survive will survive (including IP, disclaimers, limitation of liability, indemnity, and dispute provisions).

11) Dispute Resolution and Governing Law

11.1 Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict of laws principles.

11.2 Courts / Venue

Except where prohibited by law, you agree that disputes not subject to mandatory consumer protections will be brought in the courts located in Delaware, and you consent to personal jurisdiction there.

12) Miscellaneous

Entire Agreement. These Terms (plus incorporated policies) constitute the entire agreement between you and Communal regarding the Service.

Severability. If any provision is invalid, the remainder remains effective.

No Waiver. Failure to enforce a provision is not a waiver.

Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Force Majeure. We are not liable for delays or failures due to events beyond reasonable control.

Notices. We may provide notices via email, in-app messages, or posting within the Service.
